1. Acceptance of these terms
These Terms of Use govern your access to and use of this website and LogicDMX Studio (together, the "Services") provided by StageGrid Systems. By accessing or using the Services, you agree to these terms. If you do not agree, do not use the Services.
2. License to use
Subject to these terms, StageGrid Systems grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own lawful purposes, including designing fixture personalities and configurations in the Studio. This license does not transfer any ownership in the Services.
3. Acceptable use
You agree not to:
- Use the Services in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to the Services or related systems.
- Interfere with, disrupt, or place undue load on the Services.
- Reverse engineer the Services except to the extent that restriction is prohibited by law.
- Use the Services in a way that infringes the rights of others.
4. Hardware, safety, and prototype status
LogicDMX Studio is currently provided as a working prototype, and LogicDMX Core hardware is in development. Features may change, and availability is not guaranteed. Lighting and automation control systems can drive mains-connected and high-energy loads. You are responsible for installing, configuring, testing, and operating any hardware safely and in accordance with applicable electrical codes, manufacturer instructions, and professional practice. Always validate behavior before relying on it in production.
5. Intellectual property
The Services, including software, text, layout, design, graphics, the LogicDMX and StageGrid Systems names, and associated marks, are owned by StageGrid Systems or its licensors and are protected by intellectual property laws. Configurations and project data you create using the Studio remain yours. You grant no rights in your project data to StageGrid Systems by using the Studio, and, as described in our Privacy Policy, that data is stored locally in your browser.
6. No warranty
The Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. StageGrid Systems does not warrant that the Services will be uninterrupted, error free, secure, or that any defects will be corrected.
7. Limitation of liability
To the maximum extent permitted by law, StageGrid Systems and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. To the extent liability cannot be excluded, it is limited to the maximum extent permitted by applicable law. Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.
8. Governing law
These terms are governed by the laws of [governing jurisdiction placeholder, to be completed], without regard to conflict of law principles. The courts located in that jurisdiction will have exclusive jurisdiction over disputes arising from these terms, to the extent permitted by law.
9. Changes to these terms
We may update these terms from time to time. When we do, we will revise the "Last updated" date above. Continued use of the Services after changes take effect constitutes acceptance of the revised terms.
